Early version. This page was prepared for the Reconcivo beta and has not yet had a full legal review. It may change; we will tell you about material changes.
Terms of Service
1. Who we are and what Reconcivo is
Reconcivo is a cloud service run by NoblePath Digital LLC, a Massachusetts company ("we", "us"). It helps businesses prepare estimates and invoices, keep customer records, track jobs and materials, and organize bank, card and receipt files they import. Contact: support@noblepathdigit.com.
Reconcivo is a record-keeping and organizing tool. It is not a bank, lender, payment processor, accountant, tax preparer, payroll provider, financial or investment adviser, or attorney, and nothing in it is financial, tax, accounting, payroll or legal advice. Screens such as sales commission, money history and reports record and add up what you enter or import. They do not replace your accountant or your payroll provider.
2. Your account and your company
- You must be at least 18 and able to enter a contract for your business.
- The person who creates a company is its administrator. Administrators are responsible for who is invited, the permissions they get, and what they do in the company.
- Keep your sign-in details private. You are responsible for activity under your account. Each person needs their own account; do not share or lend sign-in details. Tell us promptly at support@noblepathdigit.com if you think someone else has access.
- During the beta, a company can have up to 10 team members.
3. Beta service
Reconcivo is in beta. Features, limits and prices may change as we learn. All features are included during the beta at the Simple Start price, and you might need to move to a different plan later. We will give you notice before any price or plan change takes effect, and you may cancel before it does.
4. Subscription, billing and cancellation
- Simple Start currently costs $9.99 per month, or $99.90 per year (two months free). Prices are in US dollars and may be subject to applicable taxes.
- You pay when you sign up. Payments are handled by Stripe. We do not see or store your card number.
- Your subscription renews automatically each month or year until you cancel.
- You can change your card, see invoices and cancel at any time from Settings → Company Settings → Manage billing (administrators), which opens Stripe's secure billing page. Cancelling stops future charges. You keep access until the end of the period you already paid for.
- We do not give refunds for a period that has already started, unless the law requires it or we decide otherwise. If you were charged by mistake, email us and we will fix it.
- If a payment fails, we show a notice and give a grace period (currently 7 days). After that, the company becomes read-only: you can sign in, view and export your data, but cannot edit until billing is fixed.
5. Your data and confidentiality
- You own the data you put into Reconcivo, including your customers' information, estimates, invoices, photos and imported files.
- You give us permission to store, process and display that data only as needed to run the service for you, including sending the emails you ask us to send.
- We treat your data as confidential. We use it only to run, secure and support the service. We share it only with the service providers listed in our Privacy Policy, when the law requires it, or to protect people or the service.
- You are responsible for having the right to upload what you upload, and for the accuracy of what you send to your own customers.
- You can export your data from the app while your account is active or read-only. Keep your own copies of important records, including signed estimates and change orders. We make backups to protect the service, but we do not promise that any particular record can be restored.
6. Electronic signatures and records
- Reconcivo lets your company show an estimate, change order or invoice to your customer on a web page and record the customer's approval with a typed name. The customer first agrees to an Electronic Records and Signature Disclosure that we provide on that page. By sending a document from Reconcivo without changing that disclosure, your company adopts it as the terms for that electronic signing. It is your company's agreement with its customer. We are not a party to it.
- You are responsible for deciding whether electronic signing is suitable for your jobs, your customers and the laws that apply to you. Some documents, notices and customer rights (for example, certain notices a customer must receive in writing, or a right to cancel) may need paper or a particular form. Ask your attorney. Reconcivo does not tell you whether a signature will be enforceable.
- For each approval we keep a record: the typed name, date and time, the version of the document and disclosure the customer saw, and technical details described in our Privacy Policy. That record is part of your company's data. Download and keep your own copies of signed documents. If a customer asks for paper, or says they withdraw consent, you must honor that.
- Do not use the signing pages to sign for someone else, to mislead a customer, or to collect an approval without showing the document.
7. Messages from us and connected services
- We send service messages: sign-in codes, invitations, billing notices, security alerts, and updates about changes to the service or these terms. We also send, on your behalf, the estimates, invoices and messages you ask us to send to your customers. We do not send advertising.
- Some features connect to other services, for example Stripe (payments), Google Calendar (if you connect it), OpenStreetMap (maps) and Resend (email). Files you import, such as bank statements or an estimate PDF, are read to extract the information you review. Other companies' own terms and privacy policies apply to their services. We are not responsible for what they do or for their outages. Questions about a connected service go to that service.
8. Automated results can be wrong
Reconcivo reads imported files and calculates totals, matches, commissions and estimates automatically. Amounts, dates, vendor names, account details, duplicate and refund flags, material estimates, forecasts and similar results can be wrong or incomplete. Always check important figures against your original documents, and keep your originals. Labels in the app describe how Reconcivo read your files and do not state that any debt is or is not owed. Job cost and material comparisons depend on the information you enter and do not prove waste, theft or misconduct.
The "Ask Reconcivo" assistant answers questions from records your role is allowed to see, using fixed rules on our servers. It does not send your data to an outside artificial-intelligence service. Its answers can be incomplete or wrong, and it does not change your data. If we ever add an outside service for this, we will tell you first and update our Privacy Policy.
9. Acceptable use
Do not use Reconcivo to break the law, to send spam or deceptive messages, to upload anything you have no right to use, to attack or probe the service, to try to see another company's data, to copy or resell the service, or to overload it. We may block files or messages that put the service or other customers at risk.
10. Our rights and your feedback
Reconcivo, its software, design and text belong to NoblePath Digital LLC and its licensors. While your subscription is active you may use the service for your own business as these terms allow. If you send us suggestions, you allow us to use them to improve the service without owing you anything.
11. Suspension, ending the relationship, deleting your data
- You can cancel at any time (see section 4).
- We may suspend or end access if you seriously or repeatedly break these terms, or if your use puts other customers or the service at risk, or if the law requires. When we reasonably can, we will tell you why and give you a chance to fix the problem first. We may not be able to give advance notice when there is an urgent security risk or a legal reason.
- After a subscription ends, you can keep exporting your data for 30 days. After that we may delete your company's data. If we end the service for reasons other than your breach, we will give you notice and time to export your data.
- You can ask us at any time to delete your company's data. We aim to do so within 60 days. We may keep limited billing, tax and security records that the law or our legitimate business needs require. Backups expire on a rolling schedule, and we aim for that to be within 90 days.
12. Your responsibility for your use
To the extent the law allows, you are responsible for claims brought by a third party because of the content you upload, the documents you send to your customers, or your use of Reconcivo in breach of these terms, and you will cover reasonable costs and losses that result from such a claim. We will tell you about a claim promptly, and we will not settle it in a way that binds you without your consent.
13. Disclaimer
To the fullest extent the law allows, Reconcivo is provided "as is" and "as available", without warranties of any kind, express or implied, including accuracy, reliability, fitness for a particular purpose and non-infringement. We do not promise that the service will be uninterrupted or error-free, or that data will never be lost.
14. Limit of liability
To the fullest extent the law allows, NoblePath Digital LLC and its owners, employees and contractors are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data, missed payments, fees, penalties, tax consequences or decisions made using information in Reconcivo. Where liability cannot be excluded, our total liability is limited to the amount you paid us for the service in the 12 months before the claim, or $50 if you paid nothing. Nothing in these terms limits liability that cannot be limited under Massachusetts or federal law, or waives any right you have under M.G.L. c. 93A or other laws that cannot be waived by contract.
15. Governing law
These terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law rules. Subject to any rights you have that cannot be waived, disputes will be brought in the state or federal courts located in Massachusetts.
16. General terms
- These terms, with the Privacy Policy and any plan or order details you accept, are the whole agreement between you and us about Reconcivo.
- If a court finds part of these terms cannot be enforced, the rest stays in force and the part is replaced with the closest enforceable wording.
- We may transfer these terms as part of a sale or reorganization of our business, with notice to you. You may not transfer them without our written consent.
- If we do not enforce a term right away, we have not given it up.
- You and we are independent parties, not partners or agents. These terms are for you and us only. Your customers and team members are not beneficiaries of them.
17. Notices and changes
- We give notices by email to the address on your account and in the app. You can give us notice at support@noblepathdigit.com.
- We may update these terms. For material changes we will tell you by email or in the app before they take effect. If you keep using Reconcivo after that, you accept the new terms. If you do not agree, you can cancel and export your data. The version and date are at the top of this page.
